Payment links and payment functions process real transactions against live rails, and certain third-party integrations (such as flight bookings) may also execute in real time and move real money. While testing, treat every screen as live: do not initiate payments, transfers, or banking operations unless you genuinely intend them. This is not a prototype. The Olympus Pay app runs on live infrastructure connected to real banking rails, payment processing, card issuing, and identity verification. When you make a payment, it moves.

Because the system is live, we ask testers to focus on evaluating the experience — clarity, speed, trust, and flow — rather than executing real money movements. Walk through the screens, explore the workflows you'd use day to day, and tell us precisely where it breaks, confuses, or fails you. Please do not execute real payments or banking operations during testing unless they are genuinely intended.

This is not the final design. The look, layout, and flows of the app may change significantly as we make improvements. You're seeing a work in progress — that's exactly the point.

Critical: Anything marked "In dev" should not be attempted. Payment links, send/receive, flight bookings, and card functions are live and move real money — do not execute payments or banking operations unless you genuinely intend them. Olympus Pay is not responsible for funds lost due to user-initiated transactions during the beta period.

    Screenshot, screen-record, or describe exactly what you were doing when something broke. Step-by-step is best — upload it through the Tester Portal.
  • Walk through real workflows
    Imagine paying a supplier, receiving from a client, checking a balance. Real use cases surface real problems — without executing live money movement.
  • Rate every screen you interact with
    Clarity, speed, trust. We want to know if you felt confident or anxious at any point in a financial flow.
  • Flag confusing language or missing information
    If a label, error message, or confirmation isn't clear — that's a critical bug, even if no money moved.
  • Do not execute payments / banking operations or test "In dev" features
    Live functions move real money; "In dev" features are intentionally disabled. Attempting either may produce real or unexpected results.

NDNC — Non-Disclosure & Non-Compete.

By accepting a beta invitation and accessing the Olympus Pay app, you automatically enter into the following Non-Disclosure and Non-Compete Agreement with Olympus Group Holdings, Inc. and its affiliates. This agreement is binding from the moment you access the application — no separate signature is required.

Olympus Pay Beta NDNC Agreement

1 Definitions & parties

"Company" / "Olympus" refers, collectively and individually, to Olympus Group Holdings, Inc. (Delaware, USA), Olympus Pay Limited (England & Wales), Olympus Pay Proprietary Limited (Botswana), and each of their respective subsidiaries, affiliates, successors and assigns. "Tester" means any individual or entity who accesses, registers for, or uses the Olympus Pay Beta application under any invitation, link, credential, or means whatsoever. "Confidential Information" means all non-public information concerning the Company's technology, software, source code, financial infrastructure, banking architecture, business model, product roadmap, partnerships, API design, transaction data, user data, pricing, security measures, and all other information disclosed or made accessible through the beta application or related communications.

2 Acceptance by use

By accessing or using the Olympus Pay Beta application in any form — including but not limited to opening the app, completing registration, initiating a transaction, or observing any screen — the Tester unconditionally and irrevocably agrees to all terms of this Non-Disclosure and Non-Compete Agreement. No separate signature, click-wrap, or written agreement is required. Access constitutes acceptance. If you do not agree to these terms, you must not access or use the application.

3 Non-disclosure obligations

The Tester agrees to hold all Confidential Information in strict confidence and shall not, without prior written consent from an authorised officer of the Company:

  • Disclose, publish, or communicate Confidential Information to any third party, including employers, investors, family members, or the general public
  • Post, share, stream, screenshot, photograph, or otherwise reproduce any portion of the beta application, its design, flows, features, or data to any public or private forum, social media platform, messaging channel, or media outlet
  • Use Confidential Information for any purpose other than providing good-faith feedback to Olympus during the beta period
  • Discuss the existence, nature, or contents of the Olympus Pay beta programme without explicit written permission
  • Provide Confidential Information to any competitor, investor, or entity that may use it to develop a competing product or service
4 Non-compete obligations

In consideration of access to proprietary technology, financial infrastructure, business strategy, and competitive architecture, the Tester agrees that:

  • For a period of 24 months from the date of first beta access, the Tester shall not, directly or indirectly, develop, found, co-found, invest in (other than passive holdings of less than 1% in publicly traded companies), advise, or participate in any business that provides substantially similar services to Olympus Pay — specifically: banking-as-a-service platforms, payment gateway infrastructure, full-stack financial operating systems, embedded finance platforms, or digital banking applications targeting emerging markets in Sub-Saharan Africa, the United Kingdom, or any market in which Olympus operates or has disclosed an intent to operate
  • The Tester shall not use knowledge gained through beta access to assist any third party in replicating, reverse-engineering, or building upon the Olympus Pay platform, architecture, or product approach
  • The Tester shall not solicit, recruit, or encourage any Olympus employee, partner, or contractor to leave the Company or join a competing entity during the beta period and for 12 months thereafter

This non-compete is limited to the specific services described above and does not restrict the Tester's general right to work or engage in unrelated financial technology or business activities.

5 Data, transactions & beta conduct

The Tester acknowledges that:

  • The Olympus Pay beta application operates on live financial infrastructure. Payment transactions, card functions, payment link generation, and certain third-party integrations (including flight bookings) may execute with real monetary consequences
  • The Tester is advised not to execute payments or banking operations during testing unless genuinely intended, and is solely responsible for any transactions they do initiate
  • Where prompted to provide personal or financial information for KYC/AML purposes, the Tester must provide real, accurate information
  • Olympus is not liable for losses arising from tester error, misuse of live features, or intentional circumvention of beta guidelines
  • All feedback, bug reports, suggestions, recordings, screenshots, and communications submitted by the Tester become the intellectual property of Olympus Group Holdings, Inc. with no compensation or attribution obligation
6 Intellectual property

Nothing in the Tester's participation grants any right, title, or interest in the Olympus Pay platform, application, infrastructure, brand, data, or intellectual property. The Tester shall not copy, decompile, reverse-engineer, or create derivative works from any part of the application. All feedback and submitted materials vest immediately and irrevocably in Olympus Group Holdings, Inc.

7 Duration & survival

Non-disclosure obligations remain in effect for the longer of 5 years from the date of access or for as long as the relevant information remains non-public. Non-compete obligations remain in effect for 24 months from first access. Intellectual property assignments survive indefinitely. Termination of beta access does not terminate these obligations.

8 Remedies & enforcement

The Tester acknowledges that breach of this agreement would cause irreparable harm to Olympus for which monetary damages would be insufficient. Accordingly, in addition to all other remedies at law or in equity, Olympus is entitled to seek injunctive and other equitable relief without bond or security in any court of competent jurisdiction. The prevailing party in any enforcement action shall recover reasonable legal costs and fees.

9 Governing law & jurisdiction

This Agreement is governed by the laws of England & Wales. For Testers accessing the application in Botswana, the laws of the Republic of Botswana apply concurrently to the extent of any territorial overlap. Disputes shall be resolved by binding arbitration under the rules of the Chartered Institute of Arbitrators (UK), seated in London. Each party irrevocably submits to the exclusive jurisdiction of the courts of England & Wales as a fallback.

10 Severability & entire agreement

If any provision is found unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and all other provisions remain in full force. This Agreement constitutes the entire agreement between the parties on its subject matter and supersedes all prior discussions or understandings.

You will not disclose, share, publish, or communicate any information about the Olympus Pay application, its design, features, data, infrastructure, or business strategy to any third party without written consent from Olympus Group Holdings, Inc.

You will not, for a period of 24 months from first access, participate in the development of any competing financial operating system, BaaS platform, payment gateway, or digital banking application targeting the markets in which Olympus operates.

You acknowledge that payment transactions, flight bookings, and other integrations within the app execute in real time with real monetary consequences, and that you are advised not to execute payments or banking operations unless intended. You are responsible for any transactions you initiate.

All feedback and materials you submit become the intellectual property of Olympus Group Holdings, Inc. This agreement is governed by the laws of England & Wales and enforceable in any competent jurisdiction. Access to the app constitutes acceptance regardless of whether you sign or check anything.

Licensing, regulation & how Olympus operates.

Under review — Bank of Botswana Regulatory Sandbox

Botswana: Olympus Pay is currently under review for licensing under the Bank of Botswana (BoB) Regulatory Sandbox. Until that review concludes, Olympus Pay operates in Botswana on a test/evaluation basis only. The Botswana entity, Olympus Pay Proprietary Limited, has its registered office at Plot 69184, Block 8, Gaborone, Botswana Digital & Innovation Hub, Science and Technology Park.

Olympus Pay Limited (“Olympus”) designs and operates the Olympus website and mobile app. Olympus is not a bank; it is a financial technology company.

United Kingdom: Olympus provides bank accounts, electronic money, payment initiation, account information, business account services and/or other financial services through Gemba Finance Limited (“Gemba”). Gemba is authorised and regulated by the Financial Conduct Authority, Reference number: 804853. Gemba Finance Ltd registered office address is Level 39, 1 Canada Square, Canary Wharf, London, E14 5AB, UK. Whilst Electronic Money products are not covered by the Financial Services Compensation Scheme (FSCS), your funds will be held in one or more segregated accounts and safeguarded in line with the Electronic Money Regulations 2011 — for more information please see the FCA safeguarding requirements.

Africa: In Africa, Olympus Pay (“Olympus Africa”) offers multi-currency exchanges & transfers, and international transfers in and/or for Africa, through licensed banking and payment partners. Where applicable, these are real transactions that move real money.

Non-Compete Agreement

Preamble

This Non-Disclosure and Non-Compete Agreement ("Agreement") is entered into between Olympus Group Holdings, Inc. (parent company), Olympus Pay Limited (registered in England & Wales), and Olympus Pay Proprietary Limited (Gaborone, Botswana), together with their respective subsidiaries, affiliates, successors and assigns, collectively referred to as "Olympus" or "the Company", and any individual or entity who accesses, registers for, or uses the Olympus Pay Beta Application in any capacity, referred to as the "Tester."

This Agreement takes effect automatically and irrevocably upon the Tester's first access to the Olympus Pay Beta Application, or upon submission of a beta application, whichever occurs first. No written signature is required.

Article 1 — Definitions

"Beta Application" means the Olympus Pay mobile and/or web application made available to Testers during any testing, evaluation, or feedback collection phase prior to public launch, including all banking, merchant, and related surfaces.

"Confidential Information" means any and all non-public information, data, materials, or know-how that the Tester encounters, observes, or is exposed to through the Beta Application or any related communications, including but not limited to: product designs, user interface flows, financial technology architecture, source code, API structures, transaction data, partner relationships, pricing models, roadmap details, business strategies, user analytics, security controls, internal documentation, and any information that a reasonable person would understand to be confidential given the circumstances.

"Competing Business" means any business, venture, application, or service that offers banking-as-a-service infrastructure, payment gateway services, digital wallet products, full-stack financial operating systems, embedded finance platforms, or any substantially similar financial technology products or services primarily targeting consumers, merchants, or businesses in Sub-Saharan Africa, the United Kingdom, or any market in which Olympus operates or has disclosed an intent to operate.

"Feedback" means any bug reports, usability observations, feature suggestions, ratings, written communications, screen recordings, screenshots, or other materials submitted by the Tester to Olympus in connection with the beta programme, including via the Tester Portal.

Article 2 — Non-Disclosure Obligations

2.1 The Tester shall hold all Confidential Information in strict confidence, using at minimum the same degree of care used to protect their own confidential information, and in no case less than reasonable care.

2.2 The Tester shall not disclose, share, transmit, publish, reproduce, or otherwise communicate Confidential Information to any person or entity without the prior express written consent of an authorised officer of Olympus Group Holdings, Inc.

2.3 The Tester shall not post screenshots, screen recordings, descriptions, reviews, commentary, or impressions of the Beta Application on any public or private platform, including social media, forums, messaging applications, blogs, podcasts, or news outlets.

2.4 The Tester shall not share their beta access credentials, invitation link, or application access with any other person. Sharing of credentials constitutes a material breach.

2.5 The following does not constitute Confidential Information: information that is or becomes publicly available through no fault of the Tester; information the Tester can demonstrate was independently known prior to access; or information required to be disclosed by law, provided the Tester gives Olympus reasonable prior notice and cooperates with efforts to seek a protective order.

Article 3 — Non-Compete Obligations

3.1 In consideration of access to proprietary financial technology, banking infrastructure, and business architecture, the Tester agrees that during the beta period and for a period of twenty-four (24) months from the date of first access ("Restricted Period"), the Tester shall not, without the prior written consent of Olympus:

  • Found, co-found, incorporate, or take a controlling interest in any Competing Business
  • Accept employment, consulting, advisory, or other compensated engagement with any Competing Business in a role involving product development, technology architecture, business strategy, market entry, fundraising, or executive leadership
  • Use Confidential Information to materially assist any third party in developing, marketing, or scaling a Competing Business
  • Participate in the design, architecture, or implementation of any payment infrastructure, BaaS platform, or financial operating system for any entity other than Olympus in a manner that draws upon knowledge gained through beta access

3.2 This Article does not prohibit: general employment in technology or financial services unrelated to the specific services above; passive investment of less than 1% in publicly traded securities; or academic or research activities, provided no Confidential Information is used or disclosed.

3.3 The Tester agrees that the scope, duration, and geographic reach of these restrictions are reasonable given the sensitivity of the information accessed and the competitive nature of the financial infrastructure market.

Article 4 — Non-Solicitation

4.1 During the beta period and for twelve (12) months thereafter, the Tester shall not, directly or indirectly, solicit, recruit, encourage, or induce any employee, contractor, advisor, or partner of Olympus to terminate or diminish their relationship with Olympus, or to enter into a competing relationship.

Article 5 — Beta Conduct & Live Systems

5.1 The Tester acknowledges that the Beta Application is connected to live financial infrastructure and that certain functions — including payment links, money transfers, card issuance, and third-party integrations (including flight bookings and travel services) — execute real transactions with real monetary consequences.

5.2 The Tester is advised not to execute payments or banking operations during testing unless genuinely intended. The Tester agrees to: provide real, accurate information where required for KYC/AML purposes; exercise caution and intentionality before initiating any transaction; and not attempt to use, access, or circumvent features clearly marked unavailable or in development.

5.3 Olympus shall not be liable for any financial loss, inconvenience, or harm arising from transactions initiated by the Tester during the beta period, except in cases of documented platform error that directly caused an unintended transaction without any action by the Tester.

5.4 The Tester consents to Olympus collecting, storing, and analysing usage data, transaction metadata, and feedback submissions for product improvement and legal compliance, in accordance with the Privacy Policy and Data Processing Agreement.

Article 6 — Intellectual Property

6.1 All Feedback submitted by the Tester shall vest immediately and irrevocably in Olympus Group Holdings, Inc. upon submission, as a work-made-for-hire or by assignment, with no obligation to compensate or credit the Tester.

6.2 The Tester acquires no rights, title, or interest in the Olympus Pay application, platform, brand, data, or associated intellectual property by virtue of participation.

6.3 The Tester shall not reverse-engineer, decompile, disassemble, or attempt to derive source code or proprietary logic from any component of the application.

Article 7 — Duration & Survival

7.1 Non-disclosure obligations under Article 2 survive for the longer of: (a) the duration of the beta programme plus five (5) years; or (b) as long as the relevant information remains non-public.

7.2 Non-compete obligations under Article 3 survive for twenty-four (24) months from first access.

7.3 Non-solicitation obligations under Article 4 survive for twelve (12) months from the end of beta access.

7.4 Intellectual property assignments under Article 6 are perpetual and irrevocable.

Article 8 — Remedies & Enforcement

8.1 The Tester acknowledges that breach or threatened breach would cause immediate, substantial, and irreparable harm to Olympus for which monetary damages would be inadequate.

8.2 Olympus shall be entitled to seek emergency injunctive relief, specific performance, and other equitable remedies from any court of competent jurisdiction without posting bond, in addition to all other available legal remedies.

8.3 In any proceeding to enforce this Agreement in which Olympus prevails, the Tester shall reimburse Olympus for all reasonable legal fees, costs, and expenses.

8.4 The rights and remedies of Olympus are cumulative and not exclusive of any other rights available at law or in equity.

Article 9 — Governing Law, Jurisdiction & Arbitration

9.1 This Agreement is governed by and construed in accordance with the laws of England & Wales. For Testers resident in Botswana, the laws of the Republic of Botswana apply concurrently to the extent of any specific territorial conflict.

9.2 Any dispute shall be finally resolved by binding arbitration administered by the Chartered Institute of Arbitrators (UK), before a single arbitrator. The seat of arbitration shall be London, England; the language, English.

9.3 Nothing in this Article prevents Olympus from seeking emergency injunctive or interim relief from any court of competent jurisdiction.

Article 10 — General Provisions

10.1 Severability. If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable; all other provisions remain in full force.

10.2 No waiver. Failure to enforce any provision shall not constitute a waiver of any right to enforce it in future.

10.3 Entire agreement. This Agreement constitutes the entire agreement between the parties on its subject matter.

10.4 Assignment. Olympus may assign this Agreement to any successor without the Tester's consent. The Tester may not assign any rights or obligations.

10.5 Acknowledgement. The Tester confirms they have read, understood, and irrevocably accepted all terms as a condition of accessing or using the Beta Application.
